Fase de convenio Jordi Gras i Sagrera For information on applying this template onto existing presentations, refer to the notes on slide 2 of this presentation. The Input area of the Beam can be customized to reflect the content of the presentation. The Input area is an AutoShape with a picture fill. To change this, ensure you have the image you wish to use (ideally a .jpg or a .png file) in an accessible folder. The image should have a ratio of 1:1 to ensure it does not appear distorted. Acceptable images for importing into the Input area of the Beam are the three approved graphics (lines), and black and white photography or illustrations which follow the principles laid out on The Branding Zone. Color images should never be imported into this area. To create a thank you slide with a picture in the Input area of the Beam, duplicate this master slide and create a new master slide. If using the graphic on the title slide the same should be used on the thank you slide. If using a picture in the Input area of the Beam in the title slide, the same or different but related picture can be used on the thank you slide. Customize the Input area of the Beam as described below. Click on the View tab from the menu bar and select Master>Slide Master Right-click on the Input graphic and select Format AutoShape From the Fill menu, under the Color and Lines tab, click on the drop-down arrow next to Color and select the Fill Effects menu From the Picture tab, click on Select Picture. Navigate to the folder containing the image you wish to insert in the Input area. Highlight the image and tick the Lock picture aspect ratio box. Click on OK. You can now preview the image before continuing. If you are happy with how it looks, click Ok to continue. Otherwise, repeat the process until you are happy with your selected image To exit from Master View, click on View>Normal. The change you made to the Input graphic should now be visible on the title slide

2 Índice This divider slide can be modified to contain an image. To create a picture divider slide, duplicate this master slide and create a new master slide. Customize the Input shape as described below. The image contained on the divider slide can be changed to suit the specific section. The image is created by filling an AutoShape with an image. Admisión a trámite: Precisa que la avalen al menos 1/5 del total del pasivo (acreedores ordinarios o privilegiados). ¿Créditos finalmente no reconocidos? Si alguno de los créditos no fuere reconocido no afecta a la admisión a trámite ya producida. Evaluación de la Administración Concursal: Se evaluará su contenido y, en particular, el plan de pagos y el de viabilidad (10 días desde admisión a trámite). Si fuere favorable se adjuntará al informe de la AC. En caso de evaluación desfavorable o con reservas, el juez puede dejar sin efecto la tramitación de la propuesta o su continuación con unión de la evaluación al informe de la AC. Adhesiones de acreedores: Por escrito ante Notario o ante Secretario del Juzgado (se evita Junta). Hasta la expiración del plazo de impugnación de inventario y la lista de acreedores . Cuando se modificare la clase o cuantía del crédito, los acreedores adheridos podrán revocar su adhesión La mayoría requerida es la misma que para el Convenio ordinario, es decir, la mitad del pasivo ordinario en el que se entienden incluidos los acreedores privilegiados que voten a favor. Aprobación judicial: El Juez verifica la existencia de la mayoría (informe AC) Si no se alcanza la mayoría, el deudor podrá mantener su propuesta en la fase de convenio o pedir la liquidación. Dicta sentencia aprobatoria del convenio: Cierra la fase común y pone fin a la tramitación de la propuesta anticipada Desencadena los efectos del convenio ordinario

14 El Convenio: Apertura de la fase de convenio y requisitos formales de la propuesta
Apertura de la fase de Convenio: Cuando no se ha presentado o aprobado una propuesta anticipada y no se ha pedido la liquidación. Formas de presentación: Si el deudor mantiene como propuesta de Convenio la propuesta anticipada. No caben modificaciones. Nueva oportunidad para acreedores. Propuestas planteadas expirado el plazo de comunicación de créditos hasta lista de acreedores e inventario definitivos: Pueden hacerlo el deudor o 1/5 del pasivo. Fallando los dos casos anteriores, se habilita un período para el deudor junto con 1/5 del pasivo, desde la convocatoria de la junta hasta 40 días antes de su celebración. A falta de propuestas el juez acordará la apertura de la fase de liquidación. Requisitos formales: Por escrito y firmas legitimadas. No cabe cesión de bienes y derechos en pago o para pago, ni cualquier forma de liquidación del patrimonio para pago de deudas. Prohibición convenios liquidativos. Cabe fusión o escisión. Sí cabe la enajenación de determinados bienes o derechos (incluso de la totalidad de la empresa). (CASO HABITAT: fijación de activos estratégicos no enajenables, papel de las “Comisiones de Seguimiento” y limitación de las facultades del deudor). Plan de pagos: se acompañará a la propuesta un esquema donde se aclare y concrete la forma y el momento de la recepción de los pagos, así como los recursos que se van a emplear. Plan de viabilidad: cuando para cumplir el plan de pagos se hayan previsto los ingresos futuros de la continuación de la actividad, se presentará un plan de viabilidad en el que especifiquen los recursos necesarios, los medios y condiciones de su obtención y los compromisos de terceros. Se dará traslado del Convenio a la AC, que procederá a su evaluación y, en particular, al plan de pagos y al de viabilidad. Preside el Juez, que puede delegar excepcionalmente en un administrador concursal (abogado). Secretario: Secretario el del Juzgado. Válidamente constituida con la mitad del pasivo ordinario. Deber de asistencia de la AC y el deudor. Pérdida de remuneración por inasistencia de la AC (cabe interpretar que basta que asistan 2 de los 3). Derecho de asistencia de los acreedores que figuren en la lista definitiva. Se consideran presentes los firmantes de las propuestas y los adheridos, salvo que asistan. Confección de la Lista de asistentes. Se adjuntará al Acta. Derecho de información: aclaraciones sobre el informe de la AC, propuestas de convenio y evaluaciones. Deliberación y votación: Apertura de la sesión por el Presidente. Dirige las deliberaciones y resuelve sobre los apoderamientos y acreditaciones. Exposición por el Secretario de las propuestas de convenio empezando por la del concursado. En su caso, se seguirá con la de mayor apoyo. Se considera suficientemente debatida una propuesta con 3 intervenciones a favor y 3 en contra. El Presidente somete la propuesta a votación nominal y por llamamiento de los acreedores. Eficacia: desde la fecha de la Sentencia salvo suspensión de sus efectos por decisión del Juez debido a recurso de apelación. Cesan todos los efectos de la declaración del concurso. Eficacia subjetiva: Se aplicará el convenio a los acreedores ordinarios y subordinados A los privilegiados si se hubieren adherido o votado a favor Para los subordinados los plazos de espera empezarán a contarse desde el íntegro cumplimiento frente a los ordinarios Terceros avalistas o fiadores: beneficiados en los mismos términos que el deudor si el acreedor hubiere votado a favor.
